Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Botmain.ai platform and related services operated by yyyyy, a company registered in xxxxx (the "Company", "we", "us"). By creating an Account or using the Platform, you agree to these Terms.
1. Definitions
- Platform means the Botmain.ai website, dashboard, APIs, and related services operated by the Company.
- Bot means an AI-powered automation agent made available through the Platform.
- BotCredits means the prepaid units of account used to consume Bot activity, as further described in Section 6.
- User means any individual or entity that creates an Account or otherwise accesses the Platform.
- Account means the registered user profile through which the Platform is accessed.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Platform. The Platform may be used for personal or business purposes. If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account Registration and Security
Accounts are created through an email verification process. You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must promptly notify us of any unauthorized access to or use of your Account.
4. The Service and Marketplace Model
Botmain.ai is a marketplace platform through which Users can select, fund, and activate AI-powered automation agents ("Bots"). The Company provides the Platform, the credit system, and installation and integration services performed by its engineering team.
Bots rely on third-party AI models, messaging channels (e.g. WhatsApp, Telegram) and third-party services (e.g. Google, Microsoft) that are owned by their respective providers. The Company is not affiliated with, endorsed by, or responsible for those third-party services, and their use is governed by the applicable third-party terms.
5. Third-Party Services
Connections to third-party services are established with your authorization during installation. You are responsible for maintaining valid accounts and permissions with those services. The Company disclaims any responsibility for third-party service availability, security, or changes in functionality.
6. BotCredits
BotCredits are a prepaid, limited, non-transferable and revocable license to use the services associated with the Platform. BotCredits have no cash value, do not constitute e-money, a deposit, or a stored-value instrument, and are not redeemable for cash.
- BotCredits are consumed by usage in accordance with the per-action rate card published on the Platform, which may be updated from time to time with effect for future consumption.
- A monthly service fee equal to the greater of 10% of the wallet's opening balance for that cycle or 500 BotCredits per active Bot is deducted to maintain installation, hosting, and monitoring of each active Bot. The service fee is disclosed on the pricing page, order-review screens, and inside the wallet interface prior to purchase.
- Unused purchased BotCredits expire 12 months after the date of purchase. BotCredits are consumed oldest-first. Expired BotCredits are not refunded, rolled over, or carried forward, except where required by applicable law.
- If the wallet balance is insufficient to cover the applicable service fee, the balance is reduced to zero and the associated Bot(s) are placed in a paused state. Paused Bots return to a live state automatically upon the next successful top-up sufficient to cover the ongoing service fee and usage.
- Service fee parameters (percentage, per-Bot minimum, and validity period) may change with prior notice; changes apply to future cycles only and never to BotCredits already in the wallet at the time notice is given.
7. Ordering and Payment
Activation of a Bot requires payment in advance. Prices are displayed on the Platform and may change from time to time, with effect for future purchases only. Payments are processed by third-party payment providers; you agree to their applicable terms.
8. Installation and Integration
Installation and integration of Bots are performed by the Company's engineering team on a concierge basis. Any installation timelines communicated on the Platform or during onboarding are estimates and not binding commitments. Where installation cannot be completed, please refer to the Refund & Credit Policy.
9. User Obligations and Prohibited Conduct
You agree to use the Platform in accordance with these Terms, the Acceptable Use Policy, and all applicable laws. Any breach of the Acceptable Use Policy is a material breach of these Terms.
10. Intellectual Property
The Platform, including its software, personas, designs, text, graphics, and all related content, is owned by the Company or its licensors and is protected by applicable intellectual property laws. Except for the limited rights expressly granted to you under these Terms, no rights are transferred to you.
11. AI Output Disclaimer
Bots generate automated content that may be inaccurate, incomplete, out-of-date, or otherwise unsuitable for a given purpose. Outputs are provided for convenience only and do not constitute professional advice of any kind, including financial, legal, tax, medical, or other regulated advice. You are responsible for reviewing all outputs before relying on them or acting upon them.
12. Limitation of Liability
To the maximum extent permitted by applicable law, the Company's aggregate liability arising out of or in connection with the Platform is limited to the total amounts paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to the liability. The Company shall not be liable for indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, data, or goodwill.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Platform, your content, or your breach of these Terms.
14. Suspension and Termination
The Company may suspend or terminate your Account or access to the Platform, in whole or in part, at any time, including where you breach these Terms or the Acceptable Use Policy, where required by law, or where continued provision presents a risk to the Platform or its users. On termination, all rights granted to you under these Terms cease.
15. Modifications to the Terms
The Company may modify these Terms from time to time. Material changes will be notified to you by email or through the Platform, and will take effect on the date specified in the notice. Your continued use of the Platform after that date constitutes acceptance of the modified Terms.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of xxxxx [placeholder], without regard to its conflict-of-laws principles. The courts of xxxxx [placeholder] have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer-protection rights available to you under your local law.
17. Severability
